I am a senior associate based in our London office. I specialise in employee incentives and advise both private and listed clients on a broad range of incentives matters.
I have over 10 years of experience in the share plans industry and have worked in both the Big 4 and legal practice and have advised a broad range of clients including a number of FTSE 250 listed companies, AIM listed companies and private companies.
My practice involves advising clients on the design and implementation of both executive and all-employee incentive plans (both cash and shares) and on the tax and legal implications of operating share plans in the UK and globally. I have particular experience of conducting global share plan due diligence from both a tax and legal perspective.
I advise clients in relation to both non-tax advantaged and tax-advantaged plans. I regularly advise on Long-term Incentive Plans (LTIPs), Performance Share Plans (PSPs) and Company Share Option Plans (CSOPs) as well as all employee plans such as Employee Share Purchase Plans (ESPP) Save as you Earn (SAYE) and Share Incentive Plans (SIP). I also work regularly to design and implement Enterprise Management Incentives (EMI) and growth share arrangements.
I regularly advise on the employment-related securities aspects of corporate transactions including M&A transactions and IPOs.
I also have experience of advising on annual share plan reporting and making disclosures to HMRC in respect of PAYE withholding and reporting failures.
