Flavie Malval Le Roux

As an associate in our Corporate group in France, I help our clients, French or international companies, from start-ups to listed companies, as well as investment funds, on corporate law, private equity, leveraged buyouts and mergers and acquisitions. I also assist managers in their governance issues.

I advise our clients on general corporate matters and at all stages of negotiations and drafting of private equity and capital venture transactions, from the strategic elements of the package, the performance of due diligence, the drafting of shareholders' agreements, investment agreements, share or asset purchase agreements, but also partnership agreements, joint ventures, as well as all related contractual and corporate documentation. I also help our clients in the matter of invocation of asset and liability guarantees.

Having worked in legal departments of international industrial groups, particularly in the context of secondments, I have in-depth knowledge of how a company operates and share a vision of the law as a tool and a lever for value. I therefore favour a concrete approach to our clients' needs and questions.
I am keen to understand the operational objectives and constraints and to maintain a global view of the various legal implications of a transaction, in close collaboration with the other specialist lawyers in our firm, particularly in terms of employment, commercial, corporate or personal taxation, intellectual property or IT, which in my opinion is the richness of our profession and the key to a successful transaction.
