Philip Chui

I am a senior associate in the corporate group of Bird & Bird resident in Hong Kong, with extensive experience working in Bird & Bird's London office.

I have more than a decade of experience advising clients in capital markets transactions (both equity and debt), private (cross border) and public mergers and acquisitions, private equity and venture capital investments and other general corporate matters. Prior to joining Bird & Bird, I served as an associate in the Hong Kong office of another leading international law firm.

In Hong Kong, I work with Hong Kong Stock Exchange listed companies, Chinese state owned and private enterprises, financial institutions and companies across a wide variety of sectors. In London, I have worked with a number of Main Market and AIM listed companies, investment banks and nominated advisers as well as venture capital and venture debt funds.

I was seconded to the legal and corporate secretarial department of New World Development Company Limited, a leading Hong Kong conglomerate, from July to August 2022, which provided me with a unique insight into the issues clients face day to day and a deeper understanding as to what clients require from their legal advisers.

I graduated from the London School of Economics and Political Science with a Bachelor of Laws and then obtained a Master of Laws from Georgetown University in Washington, D.C., specialising in U.S. securities laws. I am dual qualified as an attorney in New York and as a solicitor in Hong Kong.

• Advising Wise Ally International Holdings Limited, an electronics manufacturing service (EMS) provider offering full turnkey solutions with particular focus in consumer electronic products, on its initial public offering and listing on the Main Board of the Hong Kong Stock Exchange. (Hong Kong)
• Advising Hong Kong Johnson Holdings Co, Ltd., a leading environmental hygiene service provider providing a wide range of environmental hygiene services in Hong Kong, on its initial public offering and listing on the Main Board of the Hong Kong Stock Exchange. (Hong Kong)
• Advising China Shanshui Cement Group Limited on its issuance of convertible bonds in the aggregate principal amount of US$210,900,000 to Cithara Global Multi-Strategy SPC – CMB Chung Wai Greater China Alpha Strategy SP. (Hong Kong)
• Advising Zhuhai Huafa Industrial Investment Holding Co., Ltd. and Hong Kong Huafa Investment Holdings Limited, subsidiaries of Zhuhai Huafa Group Co., Ltd., on their mandatory general cash offers for the domestic and H shares of Beijing Digital Telecom Co., Ltd., a PRC company listed on the Main Board of the Hong Kong Stock Exchange (Stock Code: 6188). • Advising Shenzhen Blue Ocean Development Fund Management Company, as general partner, and its affiliated funds in its provision of mezzanine financing to Golden Meditech Holdings, a Hong Kong listed healthcare company, for the privatisation of China Cord Blood Corporation, an NYSE listed PRC cord blood banking business, and the related exit transactions. (Hong Kong; experience gained prior to joining Bird & Bird)
• Advising Shenzhen Blue Ocean Development Fund Management Company, as general partner, and its affiliated funds in its proposed provision of mezzanine financing for the privatisation of Concord Medical Services, an NYSE listed cancer treatment services provider in the PRC and Singapore. (Hong Kong; experience gained prior to joining Bird & Bird)
• Advised brokers, H&P Advisory Ltd. and SP Angel Corporate Finance LLP on Cornish Metals Inc.'s £40.5 million fund raise to advance the South Crofty tin project in Cornwall, England (London)
• Advising Canaccord Genuity in its role as the nominated adviser, sole broker and bookrunner in respect of a £12m placing and debt restructuring by Woodbois Limited (London)
• Advising Canaccord Genuity in its role as the nominated adviser, jointbroker and bookrunner in respect of a £8 million placing by Gresham House PLC. (London)
