Sylvie Hamel

As a company law expert, member of the Paris Bar, and Counsel in our Corporate Group in Paris, I specialise in French securities law.

In addition to looking after an active portfolio of clients including biotech businesses and listed companies, I regularly advise on the issuing of composite securities, notably relating to fund raisings and recapitalisations. I also advise on IPOs on both the regulated market and on Alternext, as well as on the private placement of listed companies.

I have a particular expertise in management and employee incentive plans (stock options, free shares, special employees equity warrants), group restructuring operations (merger, partial contribution of assets, spin off, contribution in kind), and fiduciary duties of management of companies (liability, corporate governance).

I began my career at a local law firm in Rennes. I joined the corporate department of a large law firm in Paris as a senior associate in 2000, and later worked for other Paris law firms before joining Bird & Bird.
