The Term Sheet

In the early stages of a financing round, the term sheet is the first crucial step in which founders and investors define the economic and legal framework for an investment in a start-up. The term sheet thus forms the basis for negotiating the contractual financing documentation for the intended investment, even before the investors incur due diligence costs and the founders typically offer exclusivity for the negotiation process.

The term sheet contains the key data on the most important financing terms. In our negotiation, you will learn about the most important terms:

  • Company valuation (pre- and post-money valuation)
  • Exit preferences (liquidation preferences)
  • Transactions requiring approval (protective provisions)
  • Vesting
  • Valuation protection via down-round protection
  • Exit provisions (e.g. tag along/drag along)
