Annie Lai

I am an associate in our Corporate Group based in Hong Kong covering a broad range of practices in capital markets, mergers & acquisitions, regulatory compliance, corporate reorganisations, and other general corporate and commercial matters.

I advise clients on a wide array of corporate finance and share transactions, including pre-IPO investments, reorganisation, initial public offerings on the Main Board and GEM of the Hong Kong Stock Exchange, public and private M&As, joint ventures, corporate reorganisations, and other fund-raising exercises, such as placings, open offers and private placements.

My experience in debt capital markets entails term loan and revolving facility transactions, medium-term notes programme, as well as restructuring of debt securities transactions. I also advise on Securities and Futures Commission of Hong Kong license applications and Hong Kong listed companies on post-listing regulatory compliance relating to the Listing Rules and Takeovers Code in Hong Kong, corporate governance, share scheme arrangements and other corporate advisory work.

Prior to joining Bird & Bird, I was an associate in the Hong Kong offices of another international law firm and a red circle PRC law firm, where I gained extensive experience in cross-border transactions and insights into domestic market dynamics and corporate needs.

I am fluent in English, Cantonese and Mandarin.
