Caroline Bonde

I am a partner in our Finance & Financial Regulation group in Denmark. I have 15 years of transactional experience with finance, private investment funds, financial regulation, shipping and energy in private practice and in-house in Copenhagen and London. I am a skilled practitioner with a commercial and pragmatic approach accustomed to advising senior decision makers in companies and financial institutions.

I specialise in banking and finance acting for Scandinavian and international banks, financial institutions, private equity sponsors, credit funds, and corporate borrowers. I have 15 years of experience advising on asset financing, project financing, acquisition financing, and corporate financing in Danish and cross-border transactions. My work includes the structuring of debt related transactions, drafting and negotiating of terms, including loan, security and intercreditor documentation, in bilateral as well as syndicated financings.

I also advise private investment funds, asset managers and financial institutions on financial regulation and fund formation. I have extensive experience with alternative investments, including due diligence and negotiation of investment terms in private equity, credit, infrastructure, venture capital, and fund-of-funds.

In addition to working with financing, I focus on shipping and energy transactions and regularly advise the various parties to such transactions, including shipowners, energy companies and other industrial companies as well as private investment fund and financial institutions.

I am a dual-qualified lawyer in Denmark and England & Wales having spent five years working in a US tier 1 law firm in London with asset finance. I joined Bird & Bird in January 2024 and also bring in-house experience from working in the alternative investments teams in Danske Bank and Danica Pension and many years of experience as a trusted legal advisor in private practice in Denmark.

• Advising Nordea Bank ABP on the EUR 3.3 billion acquisition of Danske Bank A/S’s personal customers and private banking business in Norway.
• Advising A&M Capital Advisors Europe LLP on the acquisition finance provided by Capital Four and a major Danish bank in respect of its acquisition of Danish target, STOK Emballage K/S.
• Advising Archer Limited with a USD 500 million refinancing, including senior facilities and second lien bonds with security in multiple jurisdictions.
• Establishing a Danish feeder fund for Mitsui & Co., Ltd. to invest in Maritime Investment Fund III K/S.
• USD 100 million infrastructure fund investment in Digital Colony Partners in a club deal by Danish and international institutional investors.
• Advising innovative hotel operation CIC Group with a strategic reorganisation and full refinancing of their operations and asset ownership valued at EUR 100 million.
• Advising Danica Pension on a second lien EUR 112.5m debt investment in Northvolt AB.
• Purchase and restructuring of shipping loans by a leading US investment bank in connection with the restructuring of the Israeli ship owner, ZIM.
