I am a partner in our Corporate and M&A team in Munich and a member of our Tech & Comms and Life Sciences & Healthcare Sector Groups, offering our clients in-depth experience in all facets of corporate law (transactional and non-transactional), alongside a deep understanding of their sector and business. Beside my legal advice, I am a member of the management of the German offices.

Bird & Bird LLP advises Ellab A/S, a leading global provider of solutions and services for validating, measuring, recording and monitoring critical parameters of thermal applications, on the acquisition of the Adsano Group, a company specialised in thermal qualification and validation services in the DACH region.

From offices in South Germany and Switzerland, Adsano supplies its services mainly to the pharmaceutical, biotech and medical sectors. The company has a proven track-record of using Ellab equipment for the thermal validation services offered to its base of blue-chip customers.

The acquisition of Adsano fits with Ellab’s corporate strategy of expanding its qualification and validation services in key markets. In line with this strategy, Adsano will be integrated with Ellab and is expected to serve customers in the DACH region even better through its strong local platform and direct market presence.

The parties have agreed to not disclose further details of the transaction, which has already been closed.

Ellab A/S, which was acquired by the EQT Mid Market Europe Fund ("EQT") in September 2019, has been advised by the following Bird & Bird lawyers: Partner Stefan Münch (lead), counsel Michael Gassner, associates Marcel Nurk and Daniel Gloor, all Corporate/M&A, partner Ralph Panzer, counsel Sandy Gerlach and Laura Schildberg, all employment, counsel Thomas Urband, IP, partner Henriette Picot and associate Lara Überfeldt, commercial/IT/data protection, all from Munich.
