Bird & Bird assists Qair Polska S.A. in concluding one of the largest Corporate PPAs on the Polish market

Bird & Bird's Warsaw Energy & Utilities team has supported Qair Polska S.A. in negotiating one of the largest, in terms of volume, Corporate PPAs with physical delivery of electricity on the Polish market.

Legal support included negotiating the Term Sheet, as well as the wording of the Corporate PPAs and the contracts with the trading company. Bird & Bird also advised on contractual issues along with energy regulation and renewable energy matters.

Under the contractual framework, Qair Polska S.A. will supply one of Poland's largest off-takers with a total of 2 TWh of electricity from wind and solar farms over a 12-year period. The contracts were concluded on a pay-as-produced basis and provide for the physical delivery of 100% of the electricity generated at these installations, along with guarantees of origin, to the final off-taker.

The project was advised by a team of lawyers led by Grzegorz Pizoń (Partner heading the Energy & Utilities team), who was supported by the following team members: Wojciech Korga (Senior Associate), Sara Radzicka-Tolwaj (Senior Associate) and Tomasz Chabrzyk (Associate).

"This is without doubt one of the largest transactions of its kind on the Polish market, and the fact that it was concluded during a period of inflation crisis and serious destabilization of the regulatory environment testifies to the conscious business approach of both our client and its business partner. We sincerely express our gratitude to the parties to the transaction for their trust and fruitful cooperation, and we congratulate the Qair Polska S.A. team responsible for the negotiations on their success. Genuine appreciation is also due to the teams and advisors representing the recipient and the trading company in the negotiations," Grzegorz Pizoń said.

As the client's representative indicates in the reference letter: "Qair Polska S.A., places great emphasis on aspects such as reliability, knowledge and communication when selecting a business partner. Bird & Bird Szepietowski i Wspólnicy sp. k. can be considered among the leading legal advisors in the area covered by the cooperation."
