Bird & Bird’s Warsaw team advised Głuchołaskie Zakłady Papiernicze (GZP), a Polish leading producer and processor of paper, on the transaction of the sale of one of its facilities located in Niedomice (in southern Poland) to one of the largest companies in the paper and wood industry in the Baltics – Grigeo, listed on AB Nasdaq Vilnius.
Our advice consisted in structuring the transaction, and preparing and negotiating the preliminary share purchase agreement, based on which Grigeo will buy 100% of the shares of GZP’s subsidiary which will own the paper tissue facility in Niedomice, manufacturing hygienic products for customers in the CEE region.
The transaction planned to be completed within six months from signing the agreement, subject to certain conditions precedent, marks Grigeo’s entry into the Polish market.
