Erik Holmgren

As a counsel in the Corporate group, company law and corporate governance are my main areas of expertise. I am a member of our Media, Entertainment & Sports and Technology & Communications teams, with a strong interest in technology-driven companies and companies within the e-gaming sector.

I advise both international and domestic clients on the full spectrum of Swedish corporate law matters, providing strategic advice that transforms complex legal challenges into business opportunities. My practice centres on company law - whether that's organising general meetings, acting as board secretary, or guiding clients through new issuances, mergers, demergers, and cross-border conversions. I also handle corporate governance matters and represent clients in acquisitions and capital injections. From ambitious start-ups taking their first steps to established public companies and listed corporations, I enjoy crafting legal solutions that align with each client's unique goals.

My expertise in complex company law matters extends to providing comprehensive legal analysis on intricate issues, including the Companies Act's prohibited loan provisions, corporate decision-making frameworks, and directors' and officers' liability exposures. I have advised a major listed financial institution on potential damages claims against former directors and senior management, and have participated in numerous special examiner investigations, providing clients with both current position assessments and strategic guidance for moving forward.

I have a genuine passion for working with technology companies, particularly in the e-gaming space. Having grown up with gaming culture myself, I bring more than just legal expertise to these relationships; I understand the fast-paced environment, the innovation mindset, and the unique challenges these companies face. Whether it's day-to-day governance questions or high-stakes capital rounds and exits, I can speak the language of both law and technology.
