Diego Lambrecht

As a counsel in the Brussels Corporate & Finance group, I have expertise in the fields of corporate, financial and commercial law, with a strong focus on M&A, restructurings and investments.

Examples include private equity and venture capital transactions but also impact funding and strategic acquisitions, as well as advising clients on (sustainable) governance and shareholders' cooperation, and dealing with directors' liability issues. Other fields I'm passionate about are business contracts (including distribution), financial services and capital markets transactions.

I am also a litigator and conference speaker in my areas of practice, and am the author of many in-depth publications in reputed legal journals and books.

Appointed as 'scientific collaborator' at the University of UCLouvain, I am, amongst others, currently co-authoring the new edition of a Belgian reference book on company law: Précis de droit des sociétés.

The languages I am equally comfortable with are French, Dutch and English.

As a lawyer since 2012, my leitmotif is to think out of the box while remaining surgical in all circumstances. Each case is different, but deserves to be handled with the same enthusiasm, curiosity and creativity.

• Advised Patria, a leading Finnish defence and tech company, on its acquisition of Belgian software firm ILIAS Solutions.
• In my previous firm:
• Advised the French Caisse des Dépôts et Consignations in its initial €390mio purchase, from ICE (New York Stock Exchange), of a 5.42% shareholding in Euroclear, as well as in subsequent purchases.
• Advised OpenGate Capital in the sale of EverZinc to Aterian Investment Partners.
• Advised PAI Partners in its $3.3B acquisition of Tropicana, Naked and other select juice brands across North America from PepsiCo.
• Advised Codic International S.A. in the setting up of a €100mio Green Euro Medium Term Note Programme.
• Represented a Belgian authority before the Brussels Market Court in cases about insider dealing.
• Advised Lagardère Travel Retail in its €250mio acquisition of International Duty Free, Belgium's leading Travel Retail operator.
• Advised Castik Capital on its acquisition of the Transport Services unit of Wolters Kluwer.
• Advised Insight Partners in connection with numerous investments, including growth equity investments in Showpad NV.
• Assisted UK private equity firm Bregal Freshstream in its acquisition of Belgian self-service restaurant chain Lunch Garden.
