About Me

I am a partner in our Corporate Group in Milan where I assist our local and international clients, from manufacturing to trading and services, in corporate and commercial matters. I also provide advice on litigation and antibribery compliance.

My corporate experience includes advising on a range of matters, from M&A and start-ups, to stock purchase agreements, asset sales, deeds, dismissals, transfers of undertakings, and pre and post-closing activities. I am also involved in drafting joint venture agreements for merger and spin-off transactions. In commercial matters, I advise our clients on contractual and dispute resolution issues across a broad range of sectors.
Currently, I coordinate the work of a team which deals with compliance activity related to antibribery law and the criminal liability of companies.

I have taught law and economics, and comparative law at several universities (including the L. Bocconi University of Milan and the State University of Milan). I'm also the author of several publications on corporate and comparative law. Before joining Bird & Bird in 2007, I was a partner at a multinational law firm and also worked at an Italian tax and law firm in Milan.
Experience
  • An Italian family company sold to a Swiss multinational group. It was a quick and smooth transaction, transitioning a successful company into a much larger one.
  • An Italian private company in the medical research field. It has recently concluded a few transactions involving joint ventures with research institutes (foreign universities) which aimed to create value around the research process.
  • A great success story of a huge corporate litigation which was conducted with strategic and tactical acumen resulting in our counterpart (a minority shareholder) deciding on the sale of his shareholding.
  • Acquisitions of greenfield land to develop a project for the construction of a data centre. Starting from scratch for the development of the project and helping foreign clients to cope with all difficulties related to the Italian legal system was challenging.
  • A WEEE Collective system which has been assisted right since its incorporation 15 years ago, now developed into a modern system which can provide recycling assistance to businesses in a variety of waste types.
