International law firm Bird & Bird advised Ulam Transmission and its founder Dimitri Novikov on the acquisition of the S.A.M.U. Soins des Arbres en Milieu Urbain group, specialising in the maintenance, management and enhancement of tree heritage in the Ile de France region and beyond.
Structured according to a search fund model, an innovative Buy-In Management Buyout (BIMBO) approach, the transaction was carried out with the support of a pool of financial investors alongside management and certain reinvesting shareholders in a value creation and growth strategy.
Coming from four generations of professional tree surgeons, the S.A.M.U. Soins des Arbres en Milieu Urbain group, established in 1986, is thus embarking on a new phase and consolidating through this transaction its capacity to offer comprehensive and sustainable solutions to local authorities, public sector players and private clients in relation to the maintenance and enhancement of tree assets in urban environments.
Bird & Bird advised Ulam Transmission with a team comprising partner Olivier Peronnau, and associate Nicolas Guerry, on the corporate aspects, as well as partner Jessica Derocque, and associate Orane Mikolajayk, on financing aspects.
Cezium Avocats acted on the tax aspects of the transaction with a team comprising partner Maxence Dubois.
